Terms of Service
In short. Seylo proposes changes to your Kubernetes clusters; people in your organisation approve them. You own your data and stay responsible for what you approve. The Service is paid from the first day, at the prices on our pricing section: the platform fee and verified fixes are invoiced monthly for what you used, and coding agent seats are paid before use.
1. Who we are
Seylo is operated by Seylo Labs Private Limited, a company incorporated in India with its registered office at 39/3, Palayapalayam, Erode - 638011, Tamil Nadu (“Seylo”, “we”, “us”). You can reach us at support@seylo.in.
2. This agreement
These terms apply to the Seylo service at portal.seylo.in, the Seylo in-cluster agent, the optional observability chart, and any related software we provide (together, the “Service”). By creating an account or using the Service you accept them on behalf of the organisation you represent (“you”, the “Customer”). If you do not have authority to bind that organisation, do not use the Service.
If you and Seylo have signed a separate agreement or order form, that document prevails where it conflicts with these terms.
3. Accounts and organisations
- You must give accurate information when you register and keep it current.
- Administrators in your organisation decide who has access and in which role. You are responsible for everything done under your organisation’s accounts and tokens.
- Keep credentials confidential. Multi-factor authentication and single sign-on are available, and we recommend both.
- The Service is for business use. It is not directed at anyone under 18.
4. What the Service does, and what you remain responsible for
Seylo connects to your clusters through an agent you install, which opens an outbound connection to us. By default, changes are proposed and applied only after a person with the right role approves them. You may configure bounded, expiring exceptions to that default.
You remain responsible for:
- the clusters, workloads, cloud accounts and data you connect;
- every change approved by people in your organisation, and every exception you configure;
- backups of your own systems;
- complying with the laws that apply to your data and workloads.
Recommendations — cost, right-sizing, policy findings, and anything produced by an AI feature — are suggestions. Review them before you approve them.
5. Trial, fees and invoices
- Trial. The Service is paid from the first day; there is no standard free trial. Seylo may grant an organisation a 30-day free trial on request. It covers the platform fee and Nightshift, not coding agent seats. Measured usage is shown to you in the product from the first day.
- Fees. Fees are as published on our pricing section or in your order form: a platform fee per managed vCPU per month (a first or last partial month is charged for the days it covers) and, where you use them, a fee per verified Nightshift fix (which includes the tokens of Seylo’s model for Nightshift’s investigations) and per coding agent seat. Tokens sent with your own model key are billed by your provider, never by Seylo. Prices are in US dollars, excluding any applicable tax.
- Coding agent seats. Seats are paid before use. An organisation administrator buys a seat for a named person, and it starts working only once the payment is confirmed. A seat covers the calendar month (UTC) it is bought for and is not prorated. Renewal for the next month opens on the 25th; a seat not renewed stops at 00:00 UTC on the 1st until it is paid. A prepaid seat runs to the end of the month it was paid for and is not refunded if you cancel.
- Invoices. On the 1st of each month Seylo Labs Private Limited issues the invoice for the previous month’s platform fee and verified fixes, and emails it to you with a payment link. A coding agent seat payment gets its own invoice, already marked paid. Payment is through Razorpay, at checkout in the product or through the emailed link. If your billing address is in India, you are invoiced in Indian rupees at Seylo’s fixed rate of ₹97 per US dollar, as published on our pricing section, and the rate is printed on the invoice. Payment is due within 30 days of the invoice date.
- Price changes. We will give at least 30 days’ notice before a price change affects you, and no bill goes up without notice.
- Refunds and cancellation are covered by our Refund & Cancellation Policy.
6. Your data
You own the data you bring to the Service (“Customer Data”). You grant Seylo a limited right to host, process and transmit Customer Data only to provide, secure and support the Service for you. We process Customer Data as described in our data-handling page, our Privacy Policy and, where signed, our Data Processing Addendum.
Kubernetes Secret values are not stored, logged or exported by the Service. Raw metrics, logs and traces collected by the observability chart stay in your cluster.
7. AI features
AI features are off until an administrator in your organisation turns them on. If you connect your own model provider, your use of that provider is governed by your agreement with it. If you opt in to a model that Seylo provides, the notice shown in the product when you opt in tells you which provider is used and on what terms. AI output can be wrong; changes it proposes still go through approval.
8. Acceptable use
You must follow our Acceptable Use Policy. We may suspend access that breaches it, as described in section 12.
9. Third-party services
The Service connects to services you choose — your cloud provider, identity provider, Git host, chat and paging tools, and model providers. Those services are governed by their own terms, and we are not responsible for them.
10. Confidentiality
Each party will protect the other’s non-public information with at least reasonable care, use it only for the purposes of this agreement, and disclose it only to people who need it for those purposes and are bound by similar obligations.
11. Intellectual property and feedback
Seylo owns the Service, including its software, documentation and brand. These terms give you a right to use the Service during your subscription and nothing more. If you send us feedback, we may use it without obligation to you.
12. Suspension and termination
- You may stop using the Service at any time, as described in our Refund & Cancellation Policy.
- We may suspend access immediately if your use threatens the security or availability of the Service or of others, or breaches the Acceptable Use Policy. Where we can, we will tell you first and give you a chance to fix the problem.
- Either party may end this agreement if the other materially breaches it and does not cure the breach within 30 days of written notice.
- What happens to your data when the agreement ends is described on our data-handling page.
13. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided “as is”, without warranties of any kind, including fitness for a particular purpose. We do not promise that the Service will be uninterrupted or error-free.
14. Limitation of liability
To the extent the law allows:
- Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data, however it arises.
- Each party’s total liability arising from these terms is limited to the fees you paid Seylo in the 12 months before the event giving rise to the claim.
- These limits do not apply to a breach of confidentiality, to the indemnities in section 15, or to fraud or wilful misconduct.
15. Indemnity
- Seylo will defend you against a third-party claim that the Service, as we provide it, infringes that party’s intellectual property, and pay the amounts finally awarded.
- You will defend Seylo against a third-party claim arising from your Customer Data or from your breach of the Acceptable Use Policy, and pay the amounts finally awarded.
- The party seeking protection must tell the other promptly, let it control the defence and settlement, and give reasonable help.
16. Governing law and disputes
These terms are governed by the laws of India. The courts at Erode, Tamil Nadu have exclusive jurisdiction over any dispute arising from them.
17. Changes to these terms
We may update these terms. For material changes we will notify your organisation’s administrators by email at least 30 days before they take effect. The date at the top of this page shows the latest version.
